SUMMARY OF THE ROLE:

This is an exciting opportunity for a dedicated and enterprising solicitor to work within a highly dynamic and creative business environment, offering the opportunity to work across internationally acclaimed award winning productions. The role is a key appointment for the business and offers the right candidate a wonderful opportunity to join an exciting high growth and entrepreneurial company. This role will be a primary point of contact across legal affairs, supporting multiple areas of the business that include development, production, post-production and corporate affairs.

Key Responsibilities     

  • Negotiating deals and drafting commercial contracts and licences for TV production and distribution with domestic and international clients and broadcasters.
  • Negotiating and drafting a wide range of rights agreements and third party service agreements, including option agreements with creators, script writing agreements, various other types of cast and crew agreements and contracts with recording studios and post-production houses.
  • Entering into financing and funding agreements with business partners, financial institutions, and state bodies such as the Irish Film Board and the Broadcasting Authority of Ireland –negotiation of Loan Agreements, Inter-Creditor Agreements etc. and drafting and registration of security and ancillary documentation.
  • Advising on and making applications to the Irish Revenue Commissioners on behalf of Brown Bag Films and its clients under the tax credit incentive scheme for the film industry in Ireland
  • Advising on GDPR /data protection compliance.
  • Drafting and updating template employment contracts and advising HR on employment-related matters on an as-needed basis.
  • Reviewing production scripts and advising on any potential copyright, trademark and other IP issues. Also advising productions more generally on rightsissues, IP clearance and compliance and libel matters.
  • Managing and supervising the legal executive who works in the legal department.
  • Working closely with the finance department, negotiating and advising on production financing arrangements through to financial closing
  • Responsibility for trade mark portfolio management.
  • Advising and representing the business on all corporate and commercial deals.
  • Drafting distribution agreements for the exploitation of ancillary rights.
  • Ensuring that the business is supported adequately with a sufficiently resourced legal department.
  • Support the SVP, Finance & Business Affairs on an ad hoc basis, delivering strategic solutions to commercial transactions.
  • Overview and responsibility for company secretarial matters. Carry out any further tasks, as requested, for which your qualifications & experience are suited.

Key Requirements         

  • Qualified Solicitor with 2+ years PQE, ideally within a fast paced and innovative environment.
  • Film / TV/Media experience desirable.
  • Experience of managing a team desirable.
  • Versatile and technically strong solicitor with a solid understanding of copyright law.
  • Proven commercial drafting experience, excellent attention to detail and a team player attitude.
  • Strong negotiation and leadership skills.
  • Strong communication skills, with an ability to prioritise, delegate and multi task, working to tight deadlines
  • Committed to proactively improving the quality and standard of work
  • A friendly, hardworking, professional attitude and the ability to build relationships with staff, heads of department and clients.
